Terms of Use

These Terms of Use (the "Terms") are an agreement between you and Agentic Trading, Co. ("Fey," "we," "us," and "our"). These Terms govern your access to and use of the Fey mobile application, websites, services, features, subscriptions, alerts, portfolio tools, chat experiences, agent workflows, and related services (collectively, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. Eligibility

You may use the Services only if you are legally able to enter into these Terms, are at least 18 years old or the age of majority where you live, and are not barred from using the Services under applicable law.

You are responsible for complying with the laws, rules, and regulations that apply to you, your connected accounts, your wallets, and your use of the Services.

2. Fey Services

Fey provides software that may help you view market information, monitor portfolios, create alerts, chat with agents, review account activity, and initiate or approve supported workflows with third-party services.

Unless we expressly say otherwise in the app, Fey is not a broker-dealer, investment adviser, exchange, money transmitter, custodian, bank, fiduciary, tax adviser, or legal adviser. Fey does not provide investment, financial, legal, accounting, tax, or trading advice.

The Services may change over time. We may add, remove, suspend, restrict, or modify features at any time.

3. Accounts, Authentication, and Security

You may need to create an account, authenticate with a supported provider, connect a wallet, connect a third-party service, or maintain an active subscription to use certain features.

You are responsible for maintaining the security of your devices, credentials, passkeys, wallets, recovery information, connected accounts, and any actions taken through your account. Notify us promptly at contact@fey.trade if you believe your account or credentials have been compromised.

4. Market Data, Portfolio Data, and Alerts

The Services may display prices, charts, balances, positions, alerts, account values, profit and loss data, market instruments, and other information from third-party providers, connected accounts, public sources, blockchains, or user-submitted information.

Market, portfolio, and alert information may be delayed, incomplete, unavailable, or inaccurate. You are responsible for independently verifying information before relying on it or taking any action.

Alerts are informational only. Fey does not guarantee that alerts will be delivered, received, triggered, or accurate at any particular time.

5. Agents, Chat, and User Approvals

The Services may include chat and agent features that generate responses, summarize information, propose actions, or ask you to approve workflows. Agent outputs may be inaccurate, incomplete, outdated, or unsuitable for your circumstances.

You are solely responsible for reviewing any proposed action before approving it. Fey may rely on instructions, approvals, signatures, confirmations, or other authorizations submitted through your account.

6. Connected Services and Third Parties

The Services may link to, integrate with, or route actions through third-party services, including authentication providers, wallet providers, market data providers, portfolio and trading integrations, payment processors, app stores, subscription management providers, analytics providers, and infrastructure providers.

Third-party services are not controlled by Fey and may be subject to separate terms, privacy policies, fees, risks, and eligibility requirements. Fey is not responsible for third-party services, third-party content, or actions taken by third parties.

7. Transactions, Trading, and Onchain Activity

If you use the Services to initiate, approve, sign, route, or monitor a transaction, order, transfer, deposit, withdrawal, swap, trade, or other financial or onchain action, you are responsible for reviewing all details before authorization.

Transactions and onchain activity may be irreversible. Network congestion, protocol behavior, market volatility, insufficient fees, incorrect addresses, incorrect order details, smart contract bugs, connected-service failures, or user error may cause delays, failed transactions, losses, or other adverse results.

Fey does not guarantee that any transaction, order, transfer, deposit, withdrawal, swap, trade, alert, or agent workflow will be completed, confirmed, executed, settled, canceled, or reversed.

8. Fees, Subscriptions, and Taxes

Some features may require payment or an active subscription. Subscription terms, pricing, renewal, cancellation, and refund rules may be presented in the app or by the applicable app store, payment processor, or subscription provider.

Unless otherwise stated, payments are non-refundable to the maximum extent permitted by applicable law. If you purchase through an app store or third-party payment provider, that provider may be responsible for billing, cancellation, and refunds.

You are responsible for taxes, network fees, trading fees, exchange fees, gas fees, app store fees, provider fees, and other costs that may apply to your use of the Services or third-party services.

9. Risks

Financial markets, crypto assets, derivatives, onchain protocols, wallets, exchanges, and automated workflows involve substantial risk. Values can change quickly and may go to zero. You may lose money.

Software, smart contracts, networks, data providers, models, agents, and third-party services may contain bugs, security vulnerabilities, downtime, inaccurate data, or unexpected behavior. Fey does not insure your assets, accounts, wallets, transactions, or losses.

You should consider your own objectives, financial situation, and risk tolerance before using the Services.

10. User Content and Feedback

You retain ownership of content you submit to the Services, including messages, prompts, files, instructions, alert conditions, and feedback ("User Content"). You grant Fey a non-exclusive, worldwide, royalty-free license to use, host, reproduce, modify, display, transmit, and process User Content as needed to provide, maintain, secure, and improve the Services.

If you send us ideas, suggestions, or feedback, you agree that we may use them without restriction or compensation to you.

11. Intellectual Property

The Services, including software, designs, text, graphics, logos, interfaces, features, and other content, are owned by Fey or our licensors and are protected by intellectual property laws.

Subject to these Terms, Fey grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal or internal business use. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Services except as permitted by law or with our written permission.

12. Prohibited Use

You agree not to:

• use the Services for unlawful, fraudulent, deceptive, abusive, or harmful activity;
• violate sanctions, export controls, anti-money-laundering laws, securities laws, commodities laws, consumer protection laws, or other applicable laws;
• interfere with, disrupt, overload, scrape, crawl, or compromise the Services or related systems;
• attempt to access accounts, data, systems, wallets, or services without authorization;
• upload malware or harmful code;
• misrepresent your identity, account information, approvals, or authority to act;
• infringe the rights of Fey, other users, or third parties;
• use the Services to harass, threaten, exploit, or harm others;
• bypass, disable, or interfere with security, usage, geographic, subscription, or eligibility controls.

13. Suspension and Termination

We may suspend, restrict, or terminate your access to the Services at any time if we believe you violated these Terms, your use creates risk, we are required by law, a third-party provider requires it, or continued access could harm Fey, users, third parties, or the Services.

You may stop using the Services at any time. Certain provisions of these Terms will survive termination where their nature requires survival.

14. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Fey disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and reliability.

Fey does not guarantee that the Services will be uninterrupted, secure, error-free, accurate, current, or suitable for your needs.

15. Limitation of Liability

To the maximum extent permitted by law, Fey and its affiliates, officers, directors, employees, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, assets, goodwill, business, or revenue arising from or related to the Services.

To the maximum extent permitted by law, Fey's total liability for any claim arising from or related to the Services will not exceed the greater of (a) the amount you paid Fey for the Services in the twelve months before the claim arose or (b) $100.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

16. Indemnification

You agree to indemnify and hold harmless Fey and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, losses, liabilities, damages, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising from or related to your use of the Services, your User Content, your violation of these Terms, your violation of law, or your violation of third-party rights.

17. Disputes and Governing Law

These Terms are governed by the laws of Delaware, without regard to conflict-of-law rules. Any dispute arising from or related to these Terms or the Services will be resolved in the courts or forum located in Wilmington, Delaware, unless applicable law requires otherwise.

Any arbitration, class action waiver, jury trial waiver, or special dispute process should be added here only after legal review.

18. Electronic Communications

You consent to receive notices, agreements, disclosures, account messages, support responses, and other communications electronically, including through the app, email, push notification, text message, website posting, or other electronic means.

You are responsible for keeping your contact information current and ensuring you can receive electronic communications.

19. Changes to These Terms

We may update these Terms from time to time. If we make changes, we will post the updated Terms in the app, on our website, or through another appropriate channel. Your continued use of the Services after changes become effective means you accept the updated Terms.
